1. Acceptance of Terms

By accessing or using the PortACourse platform ("Service"), provided by PortACourse ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

PortACourse is a platform that utilizes artificial intelligence to assist educators and instructional designers in generating, editing, and managing educational course modules and SCORM packages.

3. Data Processing and Artificial Intelligence

3.1 AI Processing. You acknowledge and agree that the Service relies on third-party generative artificial intelligence models ("Foundation Models") to process your inputs and generate content. These Foundation Models may be provided by third-party entities including, but not limited to, Google LLC, OpenAI OpCo, LLC, Anthropic, PBC, and their respective affiliates.

3.2 Data Sharing with AI Providers. By submitting, uploading, or inputting any text, files, or other content ("User Content") to the Service, you explicitly grant us permission to transfer, share, and process such User Content with these third-party Foundation Model providers. You understand that your User Content will be transmitted to external servers operated by these providers for the purpose of generating responses and content.

3.3 No Guarantee of Accuracy. You acknowledge that artificial intelligence is a rapidly evolving technology that may produce inaccurate, offensive, or biased output ("Hallucinations"). We do not guarantee the accuracy, completeness, or suitability of any content generated by the Service. You are solely responsible for reviewing, verifying, and editing all AI-generated content before using it for educational or any other purposes.

4. User Content and Licensing

4.1 Ownership. You retain ownership of any intellectual property rights that you hold in that User Content. In short, what belongs to you stays yours.

4.2 License to Us. When you upload, submit, store, send or receive content to or through our Service, you give PortACourse (and those we work with) a worldwide license to use, host, store, reproduce, modify, create derivative works (such as those resulting from translations, adaptations or other changes we make so that your content works better with our Service), communicate, publish, publicly perform, publicly display and distribute such content. The rights you grant in this license are for the limited purpose of operating, promoting, and improving our Services, and to develop new ones.

5. User Responsibilities

5.1 Lawful Use. You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

• In any way that violates any applicable federal, state, local, or international law or regulation.
• To generate content that is infringing, libelous, defamatory, obscene, pornographic, abusive, or offensive.
• To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation.

5.2 Sensitive Information. You agree NOT to input any Personally Identifiable Information (PII) of students, minors, or other individuals (such as names, student IDs, grades, or private contact information) into the Service prompts. The Service is designed for curriculum generation, not student data processing.

6. Intellectual Property Rights

The Service and its original content (excluding User Content provided by users), features, and functionality are and will remain the exclusive property of PortACourse and its licensors. The Service is protected by copyright, trademark, and other laws.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER PORTACOURSE NOR ANY PERSON ASSOCIATED WITH PORTACOURSE MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICE.

8. Limitation of Liability

IN NO EVENT WILL PORTACOURSE, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICE, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

9. Changes to Terms

We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them. Your continued use of the Service following the posting of revised Terms means that you accept and agree to the changes.
